End User License Agreement

1.Agreement

This End User License Agreement ("Agreement") is a sample contract between Ætheris Automation Technologies LLC ("Ætheris," "we," "us") and the individual or entity that licenses Ætheris software ("Licensee," "you"). By installing or using the software, Licensee would agree to the terms below. [Replace with executable terms after review.]

2.License Grant

Subject to the terms of this Agreement, Ætheris grants Licensee a limited, non-exclusive, non-transferable, revocable license to install and use the licensed software for Licensee's internal operations within the scope described in the applicable order or [Statement of Work].

3.Restrictions

Except as expressly permitted, Licensee shall not:

  • copy, distribute, sublicense, sell, or lease the software;
  • reverse engineer, decompile, or disassemble the software, except where prohibited by applicable law;
  • remove or alter any proprietary notices, marks, or labels;
  • use the software to build a competing product or service; or
  • use the software in violation of applicable law or any usage limits in the order.

4.Ownership & Intellectual Property

The software, including all related code, models, designs, and documentation, is licensed, not sold. Ætheris and its licensors retain all right, title, and interest, including all intellectual property rights. No rights are granted except as expressly stated here.

5.Data & Privacy

Ætheris platforms are built privacy-first and event-based. Raw sensor and source data are processed locally by default; only confirmed events and findings are transmitted as configured. Handling of Licensee data is governed by the [Data Processing Addendum] and applicable privacy law.

6.Warranty Disclaimer

The software is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

7.Limitation of Liability

To the maximum extent permitted by law, Ætheris shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Ætheris's total liability under this Agreement shall not exceed the amounts paid by Licensee in the [twelve (12) months] preceding the claim.

8.Term & Termination

This Agreement remains in effect for the license term stated in the order unless terminated earlier. Ætheris may terminate on material breach that is not cured within [30] days of notice. On termination, Licensee shall cease use and, if requested, certify destruction of all copies.

9.Governing Law

This Agreement is governed by the laws of [State of Texas, USA], without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the courts located in [County, Texas].
